End User License Agreement and Privacy Policy

END USER LICENSE AGREEMENT AND PRIVACY POLICY

Definitions

  1. Exempt Nexus refers to the owner and operator of this website.
  2. Site refers to the Exempt Nexus website and all associated pages, tools, code, and content.
  3. Product refers collectively to all nonprofit organizational sample documents, templates, generated files, downloadable materials, and accompanying files made available through the Site, including but not limited to articles of incorporation, bylaws, conflict of interest policies, and related documents.
  4. Services refers to paid or unpaid consultations, application reviews, or other advisory assistance related to nonprofit formation, governance, or tax exemption filings that may be offered separately from the Site. Services may involve discussion or review of the Product but do not alter the Product's license, ownership, or use restrictions.
  5. User refers to any individual who accesses the Site or uses the Product.

Acceptance of Terms

By accessing the Site, downloading, receiving, opening, or using the Product, the User agrees that this agreement is a legally binding contract and agrees to be bound by all terms stated herein. If the User does not agree to these terms, the Product must not be used and must be deleted or destroyed immediately.

License Grant

Subject to the terms of this agreement, Exempt Nexus grants the User a limited, non-exclusive, non-transferable, non-sublicensable license to use the Product solely for the User's own organizational formation and tax exemption application purposes.

This license is not a sale. Title, ownership, and all intellectual property rights in the Product remain exclusively with Exempt Nexus.

Permitted Use

  1. The Product may be used only for the User's own nonprofit formation, governance, or tax exemption filing.
  2. Copies may be made solely for backup or filing purposes.
  3. The Product may not be used to serve clients, third parties, or organizations other than the User's own, whether for compensation or otherwise.

Services

Exempt Nexus may offer paid or Pro Bono services, including application reviews, consultations, or other advisory assistance related to nonprofit formation or tax exemption filings ("Services").

Services are provided separately from the Site and are distinct from the Product. Services may involve discussion, review, or use of the Product, but the Product remains licensed material subject to all restrictions set forth in this agreement.

Use of Services does not transfer ownership of the Product, expand the Product license, or permit redistribution, derivative use, or commercial reuse of the Product. Services are provided by an individual and not by the Site itself. The Site remains a delivery mechanism for tools, templates, and reference material only.

Nothing in the provision of Services creates a partnership, fiduciary relationship, or professional duty beyond the specific scope of the Services provided.

Prohibited Use

The User may not:

  • Copy, share, distribute, resell, sublicense, transfer, or make the Product available to others.
  • Use the Product for commercial purposes, client services, lead generation, or resale.
  • Rewrite, modify, adapt, transform, or create derivative works based on the Product, including individual sentences or paragraphs.
  • Present the Product or rewritten versions as original work.
  • Use the Product to create competing sites, templates, or documentation.
  • Use the Product in connection with unlawful, defamatory, obscene, abusive, or discriminatory material.

Any use outside the narrow license granted constitutes infringement.

Attribution and Website Listing Prohibition

The Site provides automated tools, templates, and publicly available reference material only.

The User must not list the Site or any individual associated with it as a consultant, advisor, reviewer, or service provider on Form 1023 or any other application, filing, or documentation.

Any consultation or application review occurs separately from the Site and must not be attributed to the Site as assistance with planning, management, structure, activities, finances, or tax matters.

Copyright and Intellectual Property

The Product contains copyrighted material and proprietary content protected by United States and international copyright laws.

All rights not expressly granted are reserved by Exempt Nexus. Exempt Nexus retains exclusive ownership of all right, title, and interest in the Product, including all associated intellectual property rights.

No Warranty

The Product and all accompanying files are provided "as is" and without warranties of any kind, whether express or implied, including warranties of accuracy, performance, merchantability, or fitness for a particular purpose.

Exempt Nexus cannot be held accountable for errors, whether minor, material, or consequential, under any circumstances.

Limitation of Liability

In no event shall Exempt Nexus be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or pecuniary loss, arising from use or inability to use the Site or Product.

Total liability, if any, is strictly limited to a refund of the purchase price paid for the Product, contingent upon verified destruction of all copies.

Indemnification

The User agrees to indemnify and hold harmless Exempt Nexus from any claims, demands, losses, or expenses arising from misuse of the Site or Product or violation of this agreement.

Termination

This license terminates automatically upon any violation of this agreement. Upon termination, the User must immediately cease all use of the Product and destroy all copies. Financial obligations survive termination.

Personal Information

Exempt Nexus collects personal information only for purchase verification purposes. No credit card or sensitive financial information is stored, shared, or distributed in any form without the user's consent.

Users may visit the Site anonymously. Personal information is collected only when voluntarily submitted and may be refused, though refusal may limit access to certain Site features.

The Site may use cookies for basic functionality. Disabling cookies may impair Site operation.

Third-Party Websites

The Site links only to official government websites for filing, verification, or compliance purposes. Exempt Nexus does not link to advertisers, sponsors, partners, or commercial third parties. External sites operate under their own terms and policies.

Changes to This Agreement

Exempt Nexus may update this agreement at any time, with or without notice. Continued use of the Site constitutes acceptance of the revised terms.

Governing Law

This agreement is governed by the laws of the United States. Invalid provisions are severable and do not affect the remainder of the agreement.
